i) Proposed amendments to the articles of association and
ii) Proposed shareholders' mandate for recurrent related party transactions of a revenue or trading nature

The Board of Directors of Landmarks Berhad ("LB/ the Company") wishes to announce that the Company proposes to amend its Articles of Association ("Proposed Amendments") to ensure compliance with the new Listing Requirements of the Kuala Lumpur Stock Exchange ("Listing Requirements") and to seek shareholders' mandate for the LB Group to enter into recurrent transactions with related parties involving the rental of office space on the 6th, 7th and part of the 8th floor of Building A, Peremba Square, Saujana Resort, Shah Alam, Selangor, which are necessary for the day to day operations and are in the ordinary course of business of the LB Group pursuant to Chapter 10.09 of the Listing Requirements ("Proposed Recurrent RPT Mandate").

A Circular incorporating details of the Proposed Amendments and Proposed Recurrent RPT Mandate will be sent to the shareholders of LB in due course.
